On behalf of the Board of Directors of ManagePay, OSK Investment Bank Berhad (“OSK”) wishes to announce the following:

(i) the Company had on 28 May 2012 executed the Deed Poll constituting 183,031,190 Warrants to be issued pursuant to the Rights Issue With Warrants; and

(ii) the Company had on 28 May 2012 entered into an Underwriting Agreement with OSK for the underwriting of 90,354,405 Rights Shares.
